These Terms & Conditions ("Terms") govern your access to and use of convoinvoice ("convoinvoice," "we," "us," "our") and our website, applications, and related services (the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 16 years old and legally capable of entering into a contract to use convoinvoice. If you use the Service on behalf of a business or organization, you represent that you have authority to bind it.
2. Your account
You are responsible for the security of your account credentials and for all activity that occurs under your account. Notify us immediately at support@convoinvoice.demo if you suspect unauthorized access. We are not liable for losses caused by stolen credentials you failed to report.
3. Acceptable use
You agree not to:
- Use convoinvoice to send invoices for goods or services that are illegal in your jurisdiction.
- Send fraudulent, deceptive, or misleading invoices.
- Reverse-engineer, decompile, or attempt to extract source code from the Service.
- Use the Service to harass, defame, or threaten any person.
- Send unsolicited bulk communications ("spam") through convoinvoice.
- Interfere with or disrupt the integrity or performance of the Service.
- Use automated means (bots, scrapers) to access the Service except via documented APIs.
We may suspend or terminate accounts that violate these terms, with or without notice depending on severity.
4. Subscriptions and payments
Paid plans are billed in advance on a monthly or annual basis. Fees are non-refundable except where required by law. You may cancel at any time; cancellation stops future billing but does not refund the current period.
We may change our pricing with at least 30 days' notice. Continued use after the change takes effect constitutes acceptance.
5. Your content
You retain all rights to the content you create in convoinvoice — invoices, client data, descriptions, files. By using the Service, you grant us a limited license to host, store, transmit, and display your content solely as needed to provide the Service to you.
You are responsible for the accuracy and legality of the content you create. convoinvoice does not verify invoice contents or pursue payment on your behalf unless explicitly offered as a service.
6. AI-generated content
convoinvoice uses artificial intelligence to draft invoices from your input. Drafts are suggestions only. You are responsible for reviewing and approving every invoice before it is sent. We make no warranty as to the accuracy of AI-generated content, and you remain responsible for its content and any consequences of its use.
7. Intellectual property
The Service — including its software, design, trademarks, and branding — is owned by convoinvoice or its licensors. Nothing in these Terms transfers any of these rights to you. You may not use our trademarks without prior written consent.
8. Third-party services
convoinvoice may integrate with third-party services (payment processors, email delivery, AI providers). Your use of those services is governed by their own terms, which we encourage you to read.
9. Disclaimer of warranties
The Service is provided "as is" and "as available," without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. To the maximum extent permitted by law, we disclaim all implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the maximum extent permitted by law, convoinvoice's total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) USD 100. We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data.
11. Termination
You may stop using the Service and delete your account at any time. We may terminate or suspend your access if you breach these Terms, fail to pay, or pose a risk to other users or the Service. Provisions that by their nature should survive termination will do so.
12. Changes to these Terms
We may revise these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
13. Governing law
These Terms are governed by the laws of the jurisdiction in which convoinvoice is established, without regard to its conflict-of-laws principles. Disputes will be resolved in the courts of that jurisdiction, unless mandatory consumer-protection law requires otherwise.
